These Terms and Conditions of Sale govern every sale by Venbeck (Pty) Ltd t/a Venav-e (registration number 2026/161282/07) (“Venav-e”, “we”, “us”, “our”) to any customer (“you”, “your”). By placing an order on this website, or by completing a customer application form, you confirm that you have read, understand and agree to be bound by these Terms. They apply to every order, whether placed online, on a trade account, or on a cash or pre-paid basis.
1. Application of Terms
No document or terms you submit can amend or override these Terms unless agreed to in writing by a duly authorised representative of Venbeck. In the event of any conflict, these Terms prevail.
2. Credit Facilities
Credit terms are granted only in writing by Venbeck. If no written confirmation is received, all orders are on a cash-on-delivery (COD) or pre-paid basis.
3. Payment
- You must pay all amounts due on or before the due date.
- If any amount remains unpaid, the full balance becomes immediately due and payable without notice.
- Interest will be charged on overdue amounts at the prime overdraft rate charged by Venav-e’s bankers.
- All payments are allocated first to legal/collection costs, then to interest, and finally to capital.
4. Default and Stop Supply
In the event of any default, Venav-e may immediately place you on “stop supply” without notice, even if you have already placed an order.
5. Legal Costs
You are liable for all legal fees, collection charges and tracing agent fees on an attorney-and-client scale. These costs are recoverable even before judgment.
6. Jurisdiction
You consent to the jurisdiction of the Magistrate’s Court for any legal proceedings. Venav-e may, however, institute proceedings in any competent High Court if it chooses.
7. Delivery and Risk
- Delivery or collection by your appointed carrier is deemed delivery to you.
- Risk in the goods passes to you on delivery or collection. You are responsible for insuring the goods thereafter.
- Ownership of all goods remains solely with Venav-e until full payment has been received.
8. Amendments and Variations
No amendment, cancellation or variation of these Terms is valid unless it is reduced to writing and signed by both parties.
9. Domicilium and Notices
You choose your registered office address (as stated on your application) as your domicilium citandi et executandi for all notices and legal processes. You must notify us in writing of any change of address.
10. No Waiver
Any indulgence or relaxation granted by Venav-e does not constitute a waiver of its rights and is not a novation of these Terms.
11. Credit Standing
You must advise Venav-e in writing within 7 days of any event that may affect your credit standing.
12. Warranties and Representations
No warranties, representations or guarantees have been made by Venav-e except as expressly contained in these Terms. You confirm that you are duly authorised to enter into transactions with us.
13. General
- These Terms constitute the entire agreement between you and Venbeck.
- We may at any time obtain bank and trade references and perform credit checks.
- You consent to the jurisdiction and terms of the Deed of Suretyship and POPIA agreement where applicable.
14. Online Orders and Order Acceptance
- Placing an order on this website is an offer to buy. A contract of sale comes into existence only when we confirm the order, not when payment is taken.
- We may decline or cancel an order — for example where stock is unavailable, where a price or description was published in error, or where we cannot verify the payment or the delivery address. Where payment has already been taken for an order we decline, it is refunded in full.
- Product information, images and specifications are supplied by the manufacturer. Where an image and the written specification differ, the written specification governs.
15. Prices and VAT
- Prices are in South African Rand and include VAT at the prevailing rate.
- Trade account customers are priced at the tier agreed for their account. Prices and availability are shown once you are signed in.
- Prices may change without notice. The price that applies is the one displayed when your order is confirmed.
- If a price is obviously incorrect through a pricing or publishing error, we are not obliged to supply at that price and will contact you before proceeding.
16. Payment
- Approved trade accounts may order on account, subject to the credit terms in sections 2 to 4 above.
- Prepaid orders are settled by electronic funds transfer. Goods are reserved once payment reflects.
- Ownership of goods passes to you only once payment has been received in full. Risk passes on delivery — see section 17.
17. Delivery, Risk and Inspection
- We deliver nationally within South Africa via The Courier Guy. Delivery timeframes are estimates and are not guaranteed.
- Orders are normally dispatched within 1–3 business days of the order being confirmed and, for account customers, released.
- Risk in the goods passes to you on delivery to the address you supplied, or on collection.
- Please inspect goods on arrival. Note any visible damage or shortage on the waybill at the time of receipt, and report it to us within 7 days — see our Returns Policy.
- Delivery to an incorrect address supplied by you, or a failed delivery because nobody was available to receive the goods, may incur a further delivery charge.
18. Installation and Suitability
- Gate and access automation equipment must be installed to the manufacturer’s specification. Certain installations are subject to SANS requirements and should be carried out by a competent installer.
- You are responsible for confirming that a product suits your installation — in particular gate mass, duty cycle and operating voltage. Ask us before ordering if you are unsure; we would far rather help you specify it correctly than process a return.
- We supply equipment. We do not install it, and we are not responsible for installation work carried out by you or by a third party.
19. Returns and Your Statutory Rights
Our Returns Policy forms part of these Terms. Nothing in these Terms limits your rights under the Consumer Protection Act or, for online consumer purchases, your 7-day cooling-off right under section 44 of the Electronic Communications and Transactions Act.
20. Limitation of Liability
- Our liability arising from any sale is limited to the price paid for the goods, except where the law does not permit that limit.
- We are not liable for indirect or consequential loss, including loss of profit, loss of use, or the cost of installation or removal, except to the extent the law provides otherwise.
- Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or any other liability that cannot lawfully be excluded.
